WHO WE ARE

 

The Maryland Southern Transportation Systems a/k/a MDRAIL (reporting mark MDST) is a Class II regional railroad operating approximately 128.9 miles of track in southern Maryland. Headquarters for MDRAIL are located at White Plains, MD in Charles County. The railroad has been 100% privately owned since its inception in 1998.

 

Operations began in 1998 on a section of ex-Pennsylvania Railroad track from Bowie to Morgantown, Maryland. In 2002, MDRAIL purchased the Navy line from White Plains to Indian Head, MD adding 19.3 miles of track to the system. In 2003, MDRAIL purchased the old right-of-way from Herbert Junction to Mechanicsville, MD from the state and restored the rail line adding another 10 miles of track to the system. Finally in 2008, MDRAIL completed construction of the Federally mandated Capitol Bypass Corridor designed to divert hazardous rail cargo from traveling through Washington, DC. This new line added close to 21 additional route miles to the system.

 

As of 2008, the railroad owns a fleet of forty locomotives - all of which are of EMD lineage. MDRAIL also operates 1310 rail cars which are owned and/or leased. MDRAIL experimented with excursion trains, operating the Indian head Central, from 2002 through 2004. MDRAIL still host an annual ‘Santa' train each December. MDRAIL headquarters is also the home to the Pope's Creek Secondary Railroad Historical Society and the host to the Charles County Maryland Modern Era Model Railroad Club.

HISTORY

Incorporated:

September, 1998

Ran First Train:

March, 1999

1999 - Mid 2001:

A small operation on 62.9 miles of track (Bowie - Morgantown/Chalk Point) and yarding operations at Benning, DC. Did approximately 40640 carloads of business per year. Leased 8 locomotives with no cars owned or leased. Market value of stock = pennies per share.

August 1, 2001:

Successfully negotiated service contracts with 4 online industries in Waldorf, MD. Added 4 additional locomotives to leased fleet.

January 2002:

Purchased White Plains - Indian Head line, 19.3 miles from US Government.

July 2002:

Broke ground on new headquarters facility at White Plains. Plans included a corporate center, full-service diesel facility and full-service railcar shop.

October 2002 - October 2003:

Purchased real property from State of Maryland and extend rail line from Herbert Jct. (industrial lead to Chalk Point) to Mechanicsville, MD -  9.6 miles. Successfully signed up 8 online industries between Hughesville, MD and Mechanicsville, MD. Committed to purchase 4 locomotives.

December 2003:

Headquarters Facility officially operational. Signed service contracts with 4 additional online industries between White Plains and Indian Head, Including dedicated coal service to NSWC Indian Head. Successfully transitioned all leased locomotives into ownership while committing to purchase 6 additional units from multiple sources.

May 2004:

Maryland Department of Energy commits to build Waste-to-Energy Load-out and reclaimation facilities for southern Maryland at Bowie, MD and Waldorf, MD.

September 2004 - December 2005:

Maryland Department of Energy constructs facilities as planned. MDRail purchases 150 rail cars for dedicated service and an additional 2 locomotives.

February 2006:

Maryland BioFuels commits to build refinery at Bennsville and contracts MDRail to assist with rail logistics design and construction.

April 2007

Federal government conducts Rail Feasibility study to create bypass route around Washington, DC. It is determined that MDRail Indian Head Line should serve as the bypass route connecting to CSXT at Arkendale, VA.

May 2007:

Maryland BioFuels Ethanol Refinery goes online. MDRail purchases an additional 300 rail cars and 6 locomotives to support operations.

July 2007:

Created the "Railfan Friendly" program in conjunction with Operation Lifesaver to promote rail safety amongst civilians while embracing the hobby of railfanning.

November 2007:

Federal government approves funding for construction of bypass extension from Bumpy Oak, MD to Arkendale, VA connection with CSXT.

July 2008:

Construction of bypass completed from Arkendale to Bumpy Oak. MDRail begins construction to add double track to portions of the line from Waldorf, MD north to Bowie, MD. Purchases an additional 10 locomotives to support bypass traffic requirements.

September 2008:

MARC runs a test train from La Plata, MD to Union Station at Washington, DC to determine whether or not to add commuter service from Southern Maryland to its schedule. Based on data collected, MARC will begin express service through southern Maryland beginning in March 2009. With additional service considerations to follow as needed.

Fiscal Year Ending August 30, 2008:

Own 128.9 miles of track, all in service.

Run-Through/Access Rights to 46.0 miles of track.

Own 40 locomotives.

Own/Lease 1310 freight cars.

Annual carloads of business = 998,976.

Annual Gross Revenue = $24,694,185.

Market value of common stocks = over $18.00/share.
